Terms of Service

These Terms of Service ("Terms") govern your access to and use of Doclator (the "Service"), an AI-powered document translation platform available at doclator.com. By creating an account, paying for a subscription, or using the Service in any way, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Definitions

• Doclator, we, us, or our — the operator of the Service.
• You, user — any individual or entity using the Service.
• Account — your registered profile on Doclator.
• Content — any file, text, glossary, prompt, or other material you submit to the Service.
• Output — translated files and text generated by the Service from your Content.
• Pro Plan — a paid subscription tier that unlocks higher limits and additional features.

2. Description of the Service

Doclator translates documents in formats including PDF, Microsoft Word (.docx), Microsoft Excel (.xlsx), Microsoft PowerPoint (.pptx), EPUB, SubRip subtitle (.srt), and JSON between more than 100 languages, while attempting to preserve the original formatting, layout, and embedded objects.

The Service uses third-party large-language-model (LLM) providers — including but not limited to OpenAI, Anthropic, and Google — to perform translation. The choice of model and provider may vary depending on language pair, file format, plan, and operational availability.

The Service offers free, guest, and Pro tiers with different file-size, daily-quota, and feature limits as published on our pricing page.

3. Eligibility and Account Registration

• You must be at least 16 years old to create an account.
• You must provide accurate and complete information during registration and keep it up to date.
• You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately at security@doclator.com if you suspect unauthorized access.
• We enforce a single-active-device policy. Logging in from a new device may invalidate sessions on previous devices.
• You may not create accounts via automated means or use someone else's identity.

4. Subscriptions, Billing, and Renewals

Subscription fees and billing intervals (monthly or yearly) are displayed on our pricing page and are charged in advance through our authorized payment processors (currently Stripe, Lemon Squeezy, or Paddle, depending on region).

• Automatic renewal: subscriptions renew automatically at the end of each billing period at the then-current rate, unless you cancel before the renewal date.
• Cancellation: you may cancel at any time through the customer billing portal. Cancellation takes effect at the end of the current paid period; you will retain Pro features until then.
• Refunds: covered by our Refund Policy. In short: 14-day money-back guarantee on initial purchases; renewals are non-refundable.
• Price changes: we may change prices for future billing cycles. We will notify you by email at least 30 days in advance.
• Taxes: when applicable, value-added tax, goods-and-services tax, or sales tax will be added at checkout based on your billing location. Where the Service is sold via a Merchant of Record (Lemon Squeezy or Paddle), the Merchant of Record handles tax collection and remittance.
• Failed payments: if a renewal payment fails, we may downgrade your account to the free tier until payment is restored.

5. Free Tier and Guest Access

You may use the Service without an account (guest mode) or under our free tier with limited file size, daily quota, and feature access. Guest translations are deleted automatically after 24 hours. We may modify or discontinue the free tier and guest mode at any time without notice. Free-tier users have no service-level guarantees.

6. Acceptable Use

You agree NOT to use the Service to:

• Translate content that is illegal, infringes third-party rights, or violates applicable export-control or sanctions laws.
• Submit content depicting child sexual abuse material (CSAM), terrorist content, or content inciting violence.
• Process personal data of third parties unless you have lawful authority to do so.
• Probe, scan, or test the vulnerability of the Service without our prior written permission.
• Reverse-engineer, decompile, or attempt to derive the source code of any part of the Service except as permitted by applicable law.
• Resell, sublicense, or rent the Service to a third party, or use it to build a competing product.
• Bypass, remove, or interfere with rate limits, watermarks, file-size limits, or other technical restrictions.
• Submit malware, viruses, or any code designed to harm the Service, our users, or our infrastructure.
• Use the Service to spam, phish, or otherwise harass others.
• Use automated scripts, bots, or scrapers in a manner that places undue load on the infrastructure.
• Falsely represent your affiliation with any person or organization.

We may suspend or terminate accounts that violate this policy without notice and without refund.

7. Your Content and License Grant

You retain all ownership of the files, glossaries, prompts, and other Content you submit to the Service. We do not claim any ownership of your Content or Output.

By submitting Content, you grant Doclator a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, modify, and process your Content solely to:

• Operate, maintain, and provide the Service to you.
• Send the text portions of your files to third-party AI providers for translation.
• Generate, store, and deliver the Output back to you.
• Investigate violations of these Terms or applicable law (only where necessary).

This license terminates when you delete the Content or close your account, except where we are required by law to retain copies for a longer period (for example, to defend against legal claims or for tax-audit purposes).

8. Confidentiality of Your Content

We treat your Content as confidential. Except as necessary to provide the Service or as required by law, we will not access, view, share, or disclose your Content. Our staff accesses individual files only when explicitly authorized by you (for example, when troubleshooting a support ticket) or when investigating an alleged violation of these Terms.

9. AI Translation Disclaimer

Doclator uses statistical and AI models to produce translations. While we strive for accuracy, AI-generated translations:

• May contain errors, omissions, or inappropriate phrasing.
• May not preserve nuanced meaning, idioms, sarcasm, or cultural context.
• May be unsuitable for legal, medical, regulatory, or safety-critical use.
• Should be reviewed by a qualified human translator for any high-stakes use case.

You are solely responsible for verifying the accuracy of any Output before relying on it. The Service is provided "as is" with respect to translation quality.

10. Custom AI Provider Keys

Pro users may optionally connect their own API key from a third-party AI provider (e.g. OpenAI, Anthropic). Charges for usage of that provider's API are billed by the provider directly to you under your account, not by Doclator. We encrypt your provider key with AES-256-GCM at rest, but you remain responsible for any charges incurred. We are not liable for any quota overages, rate limits, or downtime caused by your provider.

11. Cloud Storage Integrations

You may optionally connect your Google Drive or Microsoft OneDrive account to import or export files. By doing so, you authorize Doclator to access only the files and metadata required to perform the action you requested. We follow each provider's OAuth scopes and disconnect tokens when you remove the integration. We are not responsible for actions taken by the cloud provider, including pricing, availability, or quota.

12. Intellectual Property

The Service — including the website, source code, logos, design system, documentation, and underlying technology — is the property of Doclator and its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

13. Beta Features

From time to time we may release features marked as "beta", "preview", or "experimental". Such features are provided as is, may be changed or removed at any time, and are not subject to the same uptime or support commitments as the production Service.

14. Suspension and Termination

We may suspend or terminate your account if:

• You materially breach these Terms or our Acceptable Use policy.
• Payment is not received after a reasonable grace period.
• We are required to do so by law or court order.
• Your account creates abuse, fraud, or risk to other users.

You may terminate at any time by deleting your account or canceling your subscription. Upon termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive — including IP, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCLATOR DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRANSLATIONS WILL MEET YOUR REQUIREMENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCLATOR AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY OUTPUT.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) US$100.

17. Indemnification

You agree to defend, indemnify, and hold harmless Doclator and its affiliates from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Content infringing third-party rights; or (c) your violation of applicable law.

18. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

19. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Doclator is registered as a legal entity, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be addressed by good-faith negotiation between the parties for at least 30 days.

If the dispute cannot be resolved informally, both parties agree to submit it to the competent courts of that jurisdiction, except where mandatory law allows you to bring a claim in your country of residence.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will take effect no sooner than 30 days after we notify you (by email or in-app banner) and update the "Effective date" above. Continued use of the Service after the new effective date means you accept the revised Terms.

21. Miscellaneous

• Entire agreement: these Terms, together with the Privacy Policy and any feature-specific addenda, are the entire agreement between you and Doclator.
• Severability: if any provision is held unenforceable, the remaining provisions remain in full force.
• No waiver: our failure to enforce any right does not waive future enforcement.
• Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
